Terms & Conditions

The agreement that governs your use of Sinkins and our services. Last updated October 7, 2026.

Last updated: October 7, 2026. Please read these Terms carefully before using www.sinkins.studio or hiring us.

Acceptance of Terms

These Terms and Conditions (the “Terms”) govern your use of www.sinkins.studio (the “Site”) and any services we provide. The Site is owned and operated by Sinkins (the “Company”). By using the Site or engaging us, you (the “Customer”) confirm you have read, understood and agree to these Terms.

Our Services

We provide design and development services, including UI/UX design, web design and development, app development, MVP and product builds, and brand systems. The scope, deliverables, timeline and price of each engagement are set out in a written proposal, quote or statement of work agreed by both parties. Descriptions on the Site are as accurate as possible but are not legally binding.

Accounts & Communication

  • You are responsible for the security of any account, portal or shared workspace we give you access to.
  • Information you give us must be accurate, truthful and kept up to date.
  • We may suspend or end services if you use the Site illegally or breach these Terms.

Fees & Payments

Fees, deposits and milestone or subscription payments are as stated in your proposal. Payment is accepted by the methods agreed in writing (for example credit card or bank transfer). By providing payment details you authorise us to charge amounts due. We do not offer payment terms unless agreed in writing.

For late or failed payments we may pause work and pursue settlement by other measures, including debt collection or legal action, as permitted by law.

Customer Responsibilities

You agree to provide timely feedback, content, access and approvals we reasonably need. Delays on your side may move delivery dates. Feedback requested by us that receives no response for 7 days may be treated as approval of that stage.

Intellectual Property

Ownership of bespoke work. Once we have received full payment, we assign to you all right, title and interest (including copyright) in the original, bespoke deliverables created specifically for you. Ownership transfers only when all outstanding fees are paid in full.

Third-party materials. Deliverables may include stock imagery, fonts, plugins, templates or open-source code that we do not own. We grant you a non-exclusive, worldwide, perpetual licence to use them as part of the final deliverable, subject to the original provider’s terms. They may not be used independently of the deliverable.

Our tools & portfolio. We keep ownership of our pre-existing tools, code libraries and know-how. Unless you ask us not to in writing, we may show the finished work in our portfolio and case studies.

Trademark disclaimer. We aim to produce original work but do not warrant that any design is eligible for trademark registration or free from third-party claims. You are responsible for any legal searches or filings.

Moral rights. To the extent permitted by law, we and our contractors waive moral rights in the bespoke work so you may modify and use it freely.

Revisions & Approvals

The number of revision rounds is stated in your proposal. Work outside the agreed scope is quoted separately before we start.

Cancellation & Refunds

Cancellation and refund terms are set out in your proposal. Unless it says otherwise: fees for work already completed are non-refundable; deposits secure our schedule and are non-refundable once work has begun; and refunds may be issued where services began by mistake, a payment was unauthorised, or our leadership has confirmed a refund in writing, requested within 7 days of the charge.

For recurring or subscription services, cancellation requires 28 days’ written notice, and we may bill one full service period after a cancellation notice.

Confidentiality

Each party will keep the other’s non-public business information confidential and use it only for the engagement. We are happy to sign a separate NDA on request.

Non-Solicitation

From your first engagement until one year after it ends, you agree not to directly or indirectly recruit, hire or engage any Sinkins team member, freelancer or contractor who worked on your projects, or encourage them to leave us, without our prior written permission.

Disclaimer & Limitation of Liability

Services are provided “as is” without warranties of any kind, to the fullest extent permitted by law. We do not guarantee specific business results, search rankings or revenue. To the extent permitted by law, the Company, its owners, employees and contractors are not liable for indirect, incidental, special or consequential damages, and our total liability is limited to the fees you paid for the services giving rise to the claim.

Nothing in these Terms excludes liability that cannot be excluded under applicable law, including mandatory consumer protection rights.

Indemnity

Except where prohibited by law, you agree to indemnify and hold harmless the Company and its owners, employees, agents and contractors from claims, losses, damages and expenses (including legal fees) arising from content you supply, your use of the Site, or your breach of these Terms.

Governing Law & Disputes

These Terms are governed by the laws of the State of Illinois, USA, without regard to conflict-of-law rules. We will first try to resolve any dispute informally, then through non-binding mediation, and if mediation fails, by binding arbitration before a neutral arbitrator acceptable to both parties. Either party may still bring an action in small claims court or seek injunctive relief for intellectual property infringement or misuse of confidential information.

Force Majeure

Neither party is liable for failure or delay caused by events beyond its reasonable control, including power or internet failure, industrial action, civil unrest, fire, flood, storms, acts of war or terrorism, governmental action, or pandemic. The affected party will notify the other as soon as reasonably possible.

Severability & Changes

If any provision is found invalid, it is removed and the rest remain in effect. We may update these Terms at any time by posting the new version here; continued use of the Site or services after changes means you accept them.

Can I cancel a project?

Yes. The cancellation terms in your proposal apply, and recurring services need 28 days’ written notice. Email info@sinkins.studio to cancel.

Do you offer refunds?

Refunds are limited to the cases listed above (services started by mistake, an unauthorised payment, or written confirmation from our leadership) and must be requested within 7 days of the charge.

Can I show your work in my portfolio, and can you show mine?

You own your finished work. We may feature it in our portfolio unless you tell us in writing that you would rather we do not.
